These Terms & Conditions ("Terms") govern your use of this website and your relationship with us when you apply for, book, or travel on any journey offered under the Seasonal Journeys Collective™ brand. Please read them carefully. By submitting an application, paying the Application Fee, or otherwise engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms on behalf of yourself and every member of your group.

If you are applying on behalf of a company, organisation, family, or other group, you confirm that you are authorised to accept these Terms on behalf of all travellers in your party and to make payments due under any resulting booking.

## 1. Definitions

In these Terms:

- **"We", "us", "our"** means The Socialite LLC, trading as Seasonal Journeys Collective™, together with our European operating team.
- **"You", "your"** means the person submitting an application and, where the context requires, the group or organisation they represent and every traveller in that group.
- **"Lead Applicant"** means the individual who submits the application and acts as the single point of contact and the party responsible for the booking.
- **"Group"** means the private party, company, family, or organisation on whose behalf the application is made. We accept bookings from groups only.
- **"Application"** means the request to be considered for a Journey, submitted through our website together with the Application Fee.
- **"Application Fee"** means the USD 100 fee payable to submit an Application, as described in Section 4.
- **"Journey"** means a curated group tour or corporate incentive programme offered by us.
- **"Booking"** means a confirmed reservation of a Journey following selection, acceptance of a written proposal, and payment of the deposit.
- **"Journey Cost"** means the total price of the confirmed Journey as set out in your written proposal or invoice.
- **"Supplier"** means any third party providing an element of a Journey, including hotels, yacht and vessel operators, restaurants, ground transport providers, guides, airlines, and activity providers.

## 3. Our Model

Seasonal Journeys Collective™ is a boutique travel agency. Our model differs from a conventional booking service in the following ways, and you accept these features when you apply:

- **Twelve journeys a year.** We curate one Journey for each month of the year, each matched to the destination and season at its peak.
- **Groups only.** We accept applications from private groups and corporate incentive groups only. We do not accept or arrange travel for individual travellers. An Application that does not represent a genuine group may be declined without consideration.
- **By application and waitlist.** Places are not sold on demand. Each month opens a limited number of application slots. Submitting an Application places you on the waitlist to be considered; it does not constitute a Booking and does not guarantee selection or travel.
- **Ten apply, one travels.** Each monthly Journey accepts a maximum number of applications, from which a single group is ultimately confirmed to travel. Demand routinely exceeds availability.

## 4. The Application Fee

To submit an Application you pay a non-negotiable Application Fee of **USD 100**.

The Application Fee secures the review of your Application and your place on the waitlist for the relevant month. It is applied as follows:

- **If you are not selected** for the Journey, the Application Fee is **refunded to you in full.**
- **If you are selected** and proceed to a Booking, the Application Fee is **credited in full toward your Journey Cost.**
- **If you are selected but no available Journey ultimately suits you,** the Application Fee is **refunded to you in full.**

In other words, the Application Fee is always either returned to you or credited toward your travel. We retain the Application Fee only where an Application is found to be fraudulent, abusive, submitted in bad faith, or in breach of these Terms (for example, an application that misrepresents the existence or nature of a group).

Refunds of the Application Fee are made to the original payment method, normally within fourteen (14) business days of a selection decision. Currency conversion differences, card-issuer fees, or payment-processor charges are outside our control and are not reimbursed.

The Application Fee is separate from, and additional to, any deposit or balance payable for a confirmed Journey.

## 5. Selection

Selection happens in two stages:

1. **Fit review.** We review each Application for fit, looking for groups whose values and sensibility suit the nature of our journeys and the cohesion of a travelling party.
2. **Ballot.** From the Applications that qualify, places are allocated by ballot when demand exceeds availability, so that the process is fair.

Selection is at our sole discretion. Applying does not guarantee an invitation, and we are not obliged to give reasons for any decision. We aim to respond to every Application within five (5) business days.

## 6. Proposals, Pricing, and What Is Included

If your group is selected, we will provide a written proposal setting out the itinerary, the Journey Cost, the deposit and balance schedule, the group size on which the price is based, and what is and is not included.

Unless your proposal states otherwise:

- **Prices are quoted per group or per person as specified in the proposal** and are valid only for the period stated in the proposal. Prices are not guaranteed until a deposit is received and the Booking is confirmed in writing.
- **Inclusions** are limited to those expressly listed in your proposal (for example, accommodation, listed meals, listed experiences and entries, ground transport within the programme, and the services of our team and guides).
- **Exclusions** include, unless expressly stated: international and domestic flights to and from the Journey, visas and travel documentation, travel insurance, gratuities beyond those stated, personal expenses, and anything not expressly listed as included.

## 7. Confirming Your Booking

A Booking is confirmed, and a contract between us comes into existence, only when **all** of the following have occurred: (a) we have issued a written proposal or invoice; (b) you have accepted it in writing; and (c) we have received the deposit in cleared funds. Until that point, no Journey, date, price, or place is held or guaranteed, regardless of any earlier indication of selection.

The Lead Applicant is responsible for the accuracy of all traveller details supplied to us (including full names exactly as shown on passports, dates of birth, and any special requirements) and for passing all information we provide to every member of the group.

## 8. Payment

Unless your proposal states otherwise:

- A **deposit of 25% of the Journey Cost** (less any Application Fee credit) is payable to confirm the Booking.
- The **balance is payable no later than 60 days before departure.**
- For Bookings made within 60 days of departure, the **full Journey Cost is payable at the time of confirmation.**

If the balance is not received by the due date, we may treat the Booking as cancelled by you and apply the cancellation charges in Section 9. Deposits are non-refundable except where expressly stated in these Terms or required by law.

We may offer payment by bank transfer, card, or other methods stated on your invoice. Invoices for corporate and group Bookings can be issued to your organisation on request.

## 9. Changes and Cancellation by You

**Changes.** If you wish to change a confirmed Booking (for example, dates, group size, or named travellers), we will try to accommodate the request but cannot guarantee it. Changes may incur Supplier charges plus an administration fee, which we will confirm before any change is made. Reducing your group size below the number on which the Journey Cost was based may increase the per-person price.

**Cancellation.** Cancellations must be sent to us in writing by the Lead Applicant and take effect on the day we receive them. Because our journeys are privately arranged and committed to Suppliers in advance, the following cancellation charges apply, expressed as a percentage of the total Journey Cost:

| 29 days or fewer before departure, or non-payment of balance, or no-show | 100% of Journey Cost |

These charges reflect the commitments we make to Suppliers on your behalf. Where we are able to recover any amount from a Supplier, we will pass on any such recovery to you. We strongly recommend comprehensive travel insurance that covers cancellation (see Section 11).

## 10. Changes and Cancellation by Us

We plan each Journey with great care, but occasionally changes are necessary.

- **Minor changes.** We may make minor changes to an itinerary (for example, substituting a venue, experience, or hotel of comparable standard). We will tell you as soon as reasonably possible but are not liable for minor changes.
- **Significant changes.** If we must make a significant change before departure, we will notify you and offer, where possible, a reasonable alternative or a refund of monies paid for the affected Journey.
- **Minimum numbers.** Some journeys depend on a minimum number of travellers. If your group falls below the agreed minimum, we may adjust the price or, if no agreement is reached, cancel and refund monies paid for the Journey.
- **Cancellation by us.** If we cancel a Journey for reasons other than your default or force majeure, you may choose between an alternative Journey of comparable standard (paying or receiving the difference in price) or a refund of all monies paid to us for that Journey.

Except where a Journey is cancelled due to your default, a refund under this Section is your sole remedy, and we are not liable for incidental or consequential costs such as flights, visas, or insurance booked separately by you.

## 11. Travel Insurance

Comprehensive travel insurance is a condition of travel. Every member of the group must hold insurance that covers, at minimum, cancellation and curtailment, medical expenses and repatriation, and personal liability, with cover appropriate to the destinations, activities, and value of the Journey. We may ask for evidence of insurance before departure. We are not responsible for any loss arising from your failure to obtain adequate insurance.

## 12. Passports, Visas, Health, and Entry Requirements

You are responsible for ensuring that every traveller holds a valid passport, the correct visas, and any required health documentation for the destinations on the Journey, and that all entry requirements are met. Requirements vary by nationality and can change. We can provide general guidance but do not accept responsibility for any traveller refused entry, boarding, or transit, or for any cost arising from incomplete or incorrect documentation.

## 13. Conduct and Responsibilities

Our journeys are shared experiences. You and your group agree to behave responsibly and with consideration for fellow travellers, our team, Suppliers, and local communities and customs. We may refuse to allow, or may remove from a Journey, any traveller whose conduct, in our reasonable opinion or that of a Supplier, is disruptive, unsafe, unlawful, or likely to cause distress, danger, or damage. Where a traveller is removed for such reasons, no refund is due and we are not liable for any resulting cost. You are responsible for any damage or loss caused by you or a member of your group and agree to reimburse us or the relevant Supplier accordingly.

## 14. Special Requirements and Accessibility

Please tell us at the time of application about any medical conditions, disabilities, dietary needs, mobility considerations, or other special requirements affecting any traveller, so that we can advise on suitability and, where possible, make arrangements. We will make reasonable efforts to accommodate requests but cannot guarantee that every venue, vessel, or experience will be suitable for every need.

## 15. Force Majeure

We are not liable for any failure or delay in performing our obligations, and no refund or compensation is payable, where this is caused by circumstances beyond our reasonable control. These include, without limitation: war, threat of war, civil unrest, terrorism, riot; government action, border closures, or travel restrictions; epidemic or pandemic; fire, flood, storm, earthquake, adverse weather, or other natural disaster; industrial action or strikes; failure of public utilities or transport networks; and any other event that we or our Suppliers could not foresee or avoid even with all due care. Where a Journey is affected by force majeure, we will use reasonable efforts to recover and pass on to you any amounts recoverable from Suppliers, but we cannot guarantee a refund of monies already committed on your behalf.

## 16. Our Liability

We act as a travel agency arranging and coordinating services, many of which are delivered by independent Suppliers. We accept responsibility for arranging your Journey with reasonable skill and care. We do not control, and are not liable for, the acts, omissions, or default of independent Suppliers or any matter beyond our reasonable control.

To the fullest extent permitted by law:

- Our total liability to you and your group arising out of or in connection with any Journey shall not exceed the total Journey Cost paid to us for that Journey.
- We are not liable for indirect, incidental, special, or consequential losses, including loss of enjoyment beyond the value of the affected service, loss of profit, or separately booked travel (such as flights) that cannot be used.
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot lawfully be excluded.

## 17. Suppliers and Third Parties

Certain Suppliers (for example, airlines, hotels, and vessel operators) have their own terms and conditions, which may limit or exclude their liability to you, and which apply to the services they provide. Where relevant, those terms form part of your contract for those services and are available on request.

## 18. Financial Protection of Your Money

We take the safekeeping of client funds seriously. Deposits and balances are managed to meet our commitments to Suppliers on your behalf. Where applicable financial-protection or client-money arrangements apply to a particular Journey, details will be confirmed in your proposal. The Application Fee is held separately and is refundable or creditable as set out in Section 4.

## 19. Complaints

If something is not right during your Journey, please tell our team immediately so that we have the opportunity to put it right at the time. If a matter cannot be resolved on the spot, please write to us at travel@seasonal-journeys.com within 28 days of the end of your Journey, giving your Booking reference and full details, so that we can investigate properly.

## 20. Privacy and Data

We collect and process personal data about travellers in order to arrange and deliver your Journey, in accordance with our [Privacy Policy](https://seasonal-journeys.com/policies/privacy-policy). By submitting an Application, the Lead Applicant confirms they have the consent of each traveller to share that traveller's information with us and our Suppliers for this purpose.

## 21. Photography and Media

We may photograph or film aspects of a Journey for our records and promotion. If you or any member of your group does not wish to appear in such material, please tell us in writing before departure and we will respect that request. All content, branding, itineraries, and materials we provide remain our intellectual property and may not be reproduced or resold without our written permission.

## 22. Governing Law and Disputes

These Terms, and any contract formed under them, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You and we agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware in respect of any dispute arising out of or in connection with these Terms or any Journey, save that we may bring proceedings to recover sums due in any court of competent jurisdiction.

## 23. General

- **Entire agreement.** These Terms, together with your written proposal or invoice and our Privacy Policy, form the entire agreement between us regarding a Journey and supersede any prior discussions or representations.
- **Changes to these Terms.** We may update these Terms from time to time. The version in force at the date of your Application or Booking applies to that Application or Booking.
- **Severability.** If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- **No waiver.** Our failure to enforce any provision is not a waiver of our right to do so later.
- **Assignment.** You may not transfer your Booking or these Terms to another party without our written consent.
